Corporate Services
Savvy business leaders need advisors who know business as strategic partners, not just lawyers who know the letter of the law or simply respond to client directives.
At Stein Law, we build a strong connection to our clients to better understand their business needs and we are actively involved in helping them successfully execute their business plans.
We help our clients develop legal solutions to identify and improve efficiencies in their businesses, achieve personal and corporate objectives, and protect their profitability, viability, and key stakeholders.
Our client-centered approach allows us to develop comprehensive strategies for business success and growth, anticipate issues that may arise in the future, and avoid controversy where possible. We do not simply “paper a transaction,” we are actively involved in all facets of our client’s businesses, identifying risks and opportunities while remaining flexible.
Stein Law is devoted to serving the requirements of businesses large and small with attorneys who have many years’ experience in the business sector.
We have a combined 30 years of experience in the following key areas:
Startups and General Corporate Maintenance
Stein Law works hand in hand with its client in the start-up phase of their business life cycles as they take critical steps to establish the foundation of their businesses, and as they evolve into growing, profitable enterprises. Services include:
- Choosing and organizing an appropriate and tax-efficient entity
- Drafting operating, shareholder and other ownership agreements tailored to each client’s specific needs
- Protecting intellectual property and proprietary processes
- Hiring and incentivizing employees
- Corporate governance
Transactions and Transitions
Stein Law has significant experience negotiating, structuring, and implementing commercial transactions such as acquisitions and dispositions (stock and asset), mergers, joint ventures, corporate spin-offs and leveraged buyouts. As our clients’ businesses expand and contract, we approach each transaction with their financial considerations and long-term strategic plans in mind, including appropriate structures to maximize tax savings.
We have advised on transactions ranging in size from a few hundred thousand dollars up to a half billion dollars, and will shepherd your transaction from concept through conclusion, including:
- Deal structuring and tax-planning
- Drafting and negotiating all transaction documentation
- Conducting due diligence
- Working with all stakeholders and professional advisors to efficiently close the transaction
Stein Law also advises clients as they establish and implement exit strategies for executives and owners, including transitions of ownership to partners, family members or chosen employees. We understand that an owner’s interest in a closely held business may be his or her largest and most important asset. Our business law attorneys work side-by-side with our full-service trusts and estates department to protect clients’ assets and interests.
Cross-Border Transactions
Our Corporate and Tax practice handles complex cross-border business arrangements and transactions.
We have represented numerous international clients in the acquisition of U.S. business interests, the establishment of business operations in the United States, joint ventures with U.S. partners, and licensing and distributor arrangements.
We assist non-U.S. corporate and individual clients with the structuring, planning, maintenance and reorganization of their U.S. investments and business activities. Our lawyers have planned and formed numerous tax-favored holding structures for our clients’ investments, including captive insurance companies and real property ownership.
